 AMERICAN FALCON S.A. 

 

L’Emir Fayez Chehab, CEO of American Falcon, Willis Chrans, a U.S. Director of American Falcon, Steven K. Bentley a CPA and member of the AICPA, Better Business Systems of Montana, Dr. Randolph Martin a cardiologist in Springfield, IIlinois, Don Mallette and Bank of Springfield and others have been named in a Federal District Lawsuit managed by EM Capital.  Allegations against the defendants include Securities Fraud, and other counts.   Allegations also include Fayez Chehab obtained a $1,000,000 personal loan from a unit of Aerolineas Argentinas by providing a senior lien on an airplane that was intended to be collateral for a multi-million dollar loan from the Bank of Springfield.  The defendants deny the allegations.


American Falcon filed for reorganization in Argentina in May, 2005.  The airline has stopped operations and the U.S. investors face the loss of approximately $10 million.

 

EM Capital is seeking to maximize the recovery for the U.S. investors in this complex cross-border situation.

Mr. George Giagtzis has joined EM Capital, Inc. as Managing Director responsible for business development and client service in the greater Washington, D.C. area.  Mr. Giagtzis has many years experience as an executive, international turnaround manager and financial advisor with emphasis in international business.  He is an expert in cross-cultural, cross-border business negotiation and restructuring.  Mr. Giagtzis will also assist clients in corporate and project finance involving U.S. government agency and multi-lateral organizations located in the Washington area such as the Inter-American Development Bank (IDB), Overseas Private Investment Corporation (OPIC), Export-Import Bank (EXIM), International Finance Corporation (IFC) and others.

EM CAPITAL, INC, ENGAGED AS EXCLUSIVE FINANCIAL ADVISORS TO U.S. INVESTORS IN RECOVERY ACTIONS AGAINST FAYEZ CHEHAB, WILLIS CHRANS, BANK OF SPRINGFIELD AND PROMOTERS OF BANKRUPT ARGENTINE AIRLINE AMERICAN FALCON S.A.

The over 100 page Federal District Court complaint reads like a plot for a made-for-television movie.  The Defendants deny the allegations.

 

 

 

EM Capital Managing Director Steve Cargo (Detroit office) and Seth R. Freeman, CEO (San Francisco office), were dispatched to Buenos Aires initially to perform due diligence for concerned investors who were being asked to inject additional cash into the money-losing airline after it filed a Suspension de Pagos, a precursor to an Argentine reorganization filing.  Mr. Jim Kelley, a senior vice president and loan officer from Bank of Springfield, a small Springfield, Illinois bank that had made loans (personally guaranteed by EM Capital’s clients) to several LLCs that purchased and leased planes to American Falcon, arrived soon after Cargo and Freeman. 

In Buenos Aires, Kelley explained how the Bank of Springfield had failed to secure its liens on the planes despite having made the loans more than twelve months before.  This was the first time in years of business experience that Freeman learned of a bank relying upon its borrower to perfect liens on its security, particularly involving inherently higher-risk emerging markets transactions.  Freeman and Cargo confirmed that Fayez Chehab, CEO of American Falcon had as a result, been able to use the planes as senior security to obtain a personal loan from a unit of Aerolineas Argentinas, enabled by a General Power of Attorney granted by Willis Chrans, the Manager of the LLCs and concurrently a director of American Falcon.  Kelley confirmed that the bank had been aware of this for months but had apparently not taken any enforcement action to obtain its senior secured lien; and confirmed that the planes were worth far less than the outstanding loan balances.  American Falcon, it was confirmed, was also more than $2 million behind in its lease and maintenance payments to the LLCs. 

Cargo and Freeman further confirmed that Chehab and the board of the airline had cancelled the client’s shares in the company.  In a meeting with the company’s insurance broker, they learned that American Falcon’s policies were being cancelled for non-payment the following week forcing the airline to stop flying.  Within 36 hours of arriving in Buenos Aires, Fayez Chehab refused to answer any further questions and Cargo and Freeman were denied further access to the American Falcon offices and staff.

 A subsequent forensic investigation performed by EM Capital, involving 100’s of pages of documents and records indicated a pattern of apparent securities fraud and other causes of action.  EM Capital engaged the services of Greg Ostfeld, Esq. and Tom Dutton, Esq. attorneys with the Chicago office of Greenberg Traurig and Jim Leshaw and Paul Keenan of its Miami office.
