FREEMAN, CIRA - Managing Director - Seth is a recognized leader in corporate restructuring and turnaround management, with 25 years experience across many industries inside and outside of bankruptcy. Seth assists both debtors and creditors in resolving complex situations and maximizing recovery for clients. He has extensive cross-border experience. He has consulted in real estate asset management and portfolio resolution and disposition during the U.S. savings and loan crisis and the Mexican banking system failure. Seth has served as a fiduciary in the role of Assignee in General Assignments for the Benefit of Creditors (ABC), Interim CEO, Trustee or Receiver. He is a Certified Insolvency and Restructuring Advisor and earned an MBA in International Management from Thunderbird. Seth is a Director of the Turnaround Management Association, Northern California chapter and past Chairman of the Editorial Board of the TMA Journal of Corporate Renewal. He frequently appears on Bloomberg television and CNBC and is an instructor, speaker and chairman of investment conferences and seminars, including Wharton, Columbia, Georgetown, UC Berkeley Haas and Thunderbird. Seth is also the CEO and Chief Investment Officer of EM Capital Management, LLC, a SEC registered investment advisor and sponsor of emerging markets mutual funds and hedge funds. He has work experience in Mexico, Central America, Argentina, Greece, India, Vietnam and Dubai. Seth is also a licensed California real estate broker and a general building and sheet metal contractor (inactive).
GEORGE GIAGTZIS - Managing Director - George has over 20 years of senior financial management, business improvement and restructuring experience. He has held various management and executive positions in business development, marketing, financial operations, and strategic planning with Exxon, Saudi Aramco, Rolm, IBM, Sprint International and Global One. George is the founder of The AxeaGroup. His experience with the AxeaGroup has included capital formation, private equity and reverse mergers, business plan development, restructuring and recapitalization, and bankruptcy advisory services. Recently, he was acting Chief Financial Officer for DataMeg Corp. (DTMG.OB), a Nasdaq traded telecom software development company, and Chief Financial Officer for AXS Bolivia S.A. – a portfolio company of the Inter-American Development Bank (IDB) and Delphos International, Washington DC. George has a Bachelors of Business Administration in Finance and Accounting from the University of Houston, holds a MBA in International Management from the American Graduate School of International Management (Thunderbird) and obtained a Certificate of International Business from the McCullough School of Business at Georgetown University. He speaks fluent Spanish, Greek and basic Arabic, and has extensive work and travel experience in South America, Caribbean, Europe and the Middle East.
RICHARD ZAHM, ESQ- Managing Director - Richard develops and executes financial strategies for complex client situations. Involved in real estate investment and development since the late 1970’s, he combines legal training and business acumen to quickly solve financial challenges. His expertise is in real estate and real estate finance, including real estate secured lending, real estate acquisition, and development. He works closely with purchasers, sellers, borrowers, lenders, institutional investors, investment advisors and developers creating purchase and finance strategies, joint venture agreements and construction and development projects. Richard is a founder and Principal of Second Angel Bancorp. He is a member of Second Angel’s Loan Committee and leads Second Angel’s Investor Relations. He is also a Manager of Second Angel Fund I, LLC, a California finance lender regulated by the California Department of Corporations. A licensed California attorney, Richard earned a B.A. at Colorado College (cum laude), a JD at Stanford Law School and an MBA at the Graduate School of Business, University of Cape Town, South Africa. He also holds a California Real Estate Broker License. Richard is a member of: California State Bar Association, Financial Institutions Committee (Chair); California State Bar Association, Real Estate Finance Committee (Member); San Francisco Bank Attorneys Association; National Association of Mortgage Brokers and the California Mortgage Association (Committees: Fund Management, Construction Lending).
JEFFREY S. SHIPPY, CPA, ASA –Managing Director - Jeff is an Accredited Senior Appraiser (ASA) with a specialization in Business Valuation, as promulgated by the American Society of Appraisers and is a licensed CPA. Mr. Shippy has valued and advised numerous private businesses as well as select public companies on varied business concerns and closed M&A transactions with enterprise values ranging from $10 million up to $300 million. Jeff has more than 13 years of middle-market M&A transaction and related financial and strategic advisory expertise with healthy and distressed businesses. His experience includes investment banking at Houlihan Lokey Howard & Zukin in the firm’s national M&A/Corporate Finance practice with responsibility for the execution of mergers, acquisitions, debt and equity private placements, and leveraged buyout engagements. Prior to Houlihan, Jeff was an officer for a California-based boutique investment bank where he was integrally involved in deal execution, business valuation, and practice development activities. Jeff began his career in 1995 with BDO Seidman in Chicago, a leading national middle-market CPA firm, where he specialized in business valuation and related financial advisory services for various purposes, including estate and tax planning for family-owned and entrepreneur-owned companies. His experience crosses most major industries, including apparel, aerospace and defense, consumer/personal care products, import wholesale/manufacturing, industrial manufacturing, infrastructure/construction, luxury and leisure products, semiconductor equipment, and sustainable development/alternate energy. He gained private equity experience with his prior work at a regional affiliate venture fund of Draper Fisher Jurvetson. He holds an MBA in International Management from Thunderbird and a B.S. in Accountancy from Northern Illinois University.
JAMES MORRISEY, CPA - Managing Director - Jim has developed or reviewed over 400 business valuation conclusions and financial analyses for recapitalizations, leveraged buyouts, fraudulent conveyance analyses, purchase price allocations, buy/sell agreements, mergers, acquisitions, and estate planning for clients in the United States, Europe, Asia, Canada and Latin America. The equity valuations have included common stock, preferred stock, member interests, limited partnership interests, and general partnership interests. Intangible assets valued by Mr. Morrissey include trademarks, trade names, customer information files, patents, information data bases, trade secrets, proprietary processes, contractual rights, subscriber files, copyrights, computer software, goodwill, going concern values, assembled workforces, licenses, net operating loss carry forwards, FCC licenses, and engineering drawings. The assets have been appraised on the basis of a going concern and in liquidation. Mr. Morrissey holds a Master of Business Administration with a major in Accounting from Indiana University. He graduated with a Bachelor of Arts in Political Science, minors in economics and mathematics, cum laude, from East Stroudsburg State College. He keeps abreast of current accounting, financial, tax and valuation topics through continuing education courses and conducts professional training and seminars. He holds an inactive CPA license from Pennsylvania.
